Welcome to Simzo Metallix (the “Platform”), the premier online marketplace for buying and selling iron ore and related materials. These Terms and Conditions (the “Terms”) govern your access to and use of the Platform provided by Simzo Metallix (“we,” “us,” or “our”). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.  

1. Acceptance of Terms

By registering for an account, accessing, browsing, posting listings, offering to buy or sell, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other guidelines or rules posted on the Platform. These documents constitute the entire agreement between you and Simzo Metallix regarding your use of the Platform.  

2. User Accounts

• Eligibility: You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Platform. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.  
  
   

   
• Registration: To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.  
  
   
• Account Security: You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. • Account Suspension/Termination: We reserve the right to suspend or terminate your account at any time, with or without cause, and without prior notice. Reasons for suspension or termination may include, but are not limited to, violation of these Terms, fraudulent activity, or conduct that we deem harmful to the Platform or other users.  
  
   

   

3. Platform Usage

• Purpose: The Platform is intended to facilitate the buying and selling of iron ore and related materials between users. Simzo Metallix provides the marketplace but is not directly involved in the transactions between buyers and sellers.
• User Conduct: You agree to use the Platform in a responsible and lawful manner. You shall not:
  
  • Post false, inaccurate, misleading, defamatory, or illegal content.
  • Infringe upon the intellectual property rights of others.
  • Upload or transmit viruses or other malicious code.
  • Engage in spamming, phishing, or other unsolicited communications.
  • Manipulate prices or interfere with other users’ listings.
  • Violate any applicable laws or regulations.
  • Use the Platform for any purpose other than its intended purpose.
• Listings: When creating a listing, you are responsible for providing accurate and complete information about the materials being offered, including quality, quantity, specifications, pricing, and any applicable terms of sale. You warrant that you have the legal right to sell the listed materials.
• Transactions: Simzo Metallix is not a party to the transactions between buyers and sellers. All transactions are solely between the users. We do not guarantee the quality, safety, legality, or availability of the materials offered, nor do we guarantee the ability of buyers to pay or sellers to deliver. You are responsible for conducting your own due diligence and entering into transactions at your own risk.
• Fees (if applicable): Simzo Metallix may charge fees for certain services or transactions on the Platform. Any applicable fees will be clearly disclosed. You agree to pay all applicable fees in a timely manner. We reserve the right to change our fee structure at any time, with notice provided on the Platform.

4. Intellectual Property

• Platform Content: The Platform and its original content, features, and functionality (including but not limited to text, graphics, logos, images, software) are owned by Simzo Metallix and are protected by intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our prior written consent.  
  
   
• User Content: By posting or uploading content to the Platform, you grant Simzo Metallix a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the operation and promotion of the Platform. You represent and warrant that you have all necessary rights to grant this license.  
  
   

   

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. SIMZO METALLIX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DISCLAIM ANY LIABILITY FOR THE QUALITY, SAFETY, LEGALITY, OR AVAILABILITY OF THE MATERIALS OFFERED ON THE PLATFORM OR THE CONDUCT OF USERS.  

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMZO METALLIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, ANY TRANSACTIONS ENTERED INTO THROUGH THE PLATFORM, OR ANY CONTENT POSTED ON THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SIMZO METALLIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SIMZO METALLIX’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM EXCEED THE AMOUNT OF FEES, IF ANY, PAID BY YOU TO SIMZO METALLIX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.  

7. Indemnification

You agree to indemnify, defend, and hold harmless Simzo Metallix, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of the Platform, your violation of these Terms, your user content, or your interactions with other users.  

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Agartala, Tripura, India.  

9. Modifications to Terms

Simzo Metallix reserves the right to modify these Terms at any time by posting the updated Terms on the Platform. Your continued use of the Platform after the posting of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any updates.  

10. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any other guidelines or rules posted on the Platform, constitute the entire agreement between you and Simzo Metallix and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Simzo Metallix.
• Waiver: The failure of Simzo Metallix to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.  
  
   

   

   
• Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Simzo Metallix. Simzo Metallix may assign or transfer its rights and obligations under these Terms without your consent.
